Welcome to InvoicifyAI! These Terms & Conditions ("Terms") are a legal agreement between you and InvoicifyAI. By creating an account or using our service, you're agreeing to these terms.
1. Definitions
- Company: The legal entity (business or freelancer) that owns the workspace within InvoicifyAI.
- Service: The InvoicifyAI SaaS platform, including web apps, APIs, voice agents, automations, and connected integrations.
- Customer Data: Any information, recordings, documents, or content you or your users upload or generate while using the Service.
- Subscription: The plan type, features, and usage limits you purchase, including any add-ons or trials.
- User: Anyone authorized by the Company to access the Service through your workspace.
2. What We Do
InvoicifyAI is an AI-powered CRM platform that automates your complete revenue lifecycle. We provide CRM capabilities, AI deal intelligence, 4 specialized voice agents, professional invoicing, expense tracking, and comprehensive business automation for small businesses and freelancers.
3. Your Account
- Sign Up: Use accurate info when creating your account
- Security: Keep your password safe - you're responsible for all account activity
- Report Issues: Tell us immediately if someone accesses your account without permission
- Billing: Keep your payment method and contact details current so invoices process correctly
- Account Suspension: We may suspend or disable your company workspace without prior notice when needed to protect our platform, comply with law, or investigate suspected abuse
4. Acceptable Use & Customer Responsibilities
You must only use the Service for lawful business purposes and in line with these Terms and any policies we publish (together, our "Acceptable Use" requirements).
Allowed Uses:
- Managing your complete customer relationship lifecycle
- Using AI agents for legitimate business communications
- Processing business invoicing and payments
- Tracking business expenses and receipts
- Analyzing deals and business performance
Your Responsibilities:
- Ensure all Customer Data is accurate, lawful, and collected with proper consent
- Respect usage limits, rate limits, and security controls we set for the Service
- Maintain updated billing, contact, and compliance information for your Company
- Obtain all necessary rights before uploading third-party content or contact lists
- Follow all applicable privacy, tax, consumer protection, anti-spam, and telemarketing laws
Not Allowed:
- Illegal activities, fraud, or deceptive practices
- Spamming, harassment, or sending communications without required consent
- Attempting to hack, reverse engineer, or overload our systems
- Violating any laws (tax, privacy, telemarketing, export control, etc.)
- Circumventing security controls, abuse monitoring, usage limits, or workspace isolation
5. Pricing, Billing & Cancellation
- Subscription: Monthly plans (see current pricing on website) billed in advance and auto-renew until cancelled
- Payment: Charged via Stripe using the payment method you keep on file; failed payments may trigger immediate suspension
- Trials: New workspaces receive a 14-day free trial—cancel before it ends to avoid the first charge
- Plan Changes: Upgrades take effect immediately and may result in prorated charges; downgrades apply on your next renewal
- Price Changes: We may update pricing or plan features—material changes are communicated before your next billing cycle
- Cancellation: Cancel anytime from your dashboard; access continues until the end of the paid period
- Refunds: See our Refund Policy for details—partial-period refunds are not provided unless required by law or for verified billing errors
- Usage Limits: We currently operate on fair-use principles with no hard caps; we may introduce plan-specific limits or add-ons and will notify you before they take effect

6. Your Data, Privacy & Retention
- Ownership: Your business data remains yours—we only process it to provide and improve the Service
- Security: We encrypt data in transit and at rest, monitor for threats, and follow industry best practices
- Privacy: We don't sell your data; see our Privacy Policy for full details
- Retention: We retain Customer Data while your subscription is active and for a limited period afterward to meet legal, billing, or audit requirements
- Deletion: After cancellation, we schedule your workspace for deletion within commercially reasonable timelines, subject to legal holds and backups
- Backups: We perform regular backups, but you should keep independent records for your compliance obligations
- Export: You can request supported exports (currently AI agent calls and reports) before deletion; once removed from our systems it cannot be recovered
7. Security & Incident Response
We implement safeguards to protect the Service, but security is a shared responsibility. You must protect your own devices, credentials, and integrations.
- We monitor for suspicious activity and will notify you of confirmed incidents that materially impact your workspace
- You must promptly notify us if you suspect unauthorized access or credential compromise
- You are responsible for user permissions, API keys, and third-party integrations connected to your workspace
- We may require security upgrades (like MFA) to keep providing the Service
8. AI Features & Compliance
⚠️ Important for AI Voice Agents & Deal Intelligence:
- You must obtain and document all required consent before using AI voice agents for calls, recordings, or automated outreach
- Comply with telemarketing, privacy, and data protection laws (including CASL, TCPA, TSR, GDPR, CCPA, and any local equivalents)
- AI deal intelligence is for business insights only—you remain responsible for every decision and communication
- You're responsible for legal compliance with AI usage - not us
- Do not use AI outputs as legal, tax, or accounting advice
You must disclose AI involvement when required by law and honor opt-out requests promptly. We may review AI usage for compliance and disable features that create legal, ethical, or reputational risk.
9. Service Protection & Enforcement
We actively monitor for abuse, security risks, and violations of these Terms. We may immediately suspend, disable, or terminate access to your company workspace—or specific features like AI agents, outbound communications, or integrations—if we believe it is necessary to protect the platform, our customers, or comply with legal or regulatory requirements.
- We may act without prior notice when urgent action is required
- We may refuse to reinstate access if we determine the risk persists
- You remain responsible for all fees and obligations that accrued before or during suspension
We will make reasonable efforts to notify you about enforcement actions when appropriate, but we are not obligated to do so when immediate action is needed to prevent harm or legal exposure.
10. Service Availability & Changes
We continuously evolve InvoicifyAI. That means we may modify, limit, discontinue, or replace features, plan inclusions, usage limits, or integrations at any time. We will give reasonable notice when changes materially impact your current subscription, but some improvements or emergency adjustments may take effect immediately.
- New features may be subject to additional fees or plan upgrades
- Legacy features may be sunset when they pose security, compliance, or performance risks
- We may impose or adjust technical limits to maintain stability and fair usage
Your continued use after a change means you accept the updated offering. If a change materially reduces functionality you rely on, you may cancel your subscription per Section 5.
11. Intellectual Property & License
InvoicifyAI, our logos, product names, and the underlying software are owned by us or our licensors. We grant you a limited, revocable, non-transferable license to access and use the Service for your internal business purposes while your subscription is active.
- You may not copy, modify, distribute, or create derivative works of the Service
- Feedback you choose to share may be used by us without restriction or obligation
- Customer Data remains yours, but you grant us the rights needed to host, process, and analyze it to deliver the Service
- AI-generated outputs are licensed to you for your lawful business use, subject to third-party terms (e.g., OpenAI, ElevenLabs)
12. Customer Indemnification
You agree to defend, indemnify, and hold harmless InvoicifyAI, our affiliates, and our team from any claims, damages, losses, or costs (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms or applicable law
- Customer Data or communications you send through the Service (including AI-assisted outreach)
- Your breach of third-party rights, including intellectual property, privacy, or publicity rights
We will promptly notify you of any claim and allow you to control the defense, provided you act promptly and responsibly. We may participate with counsel of our choice at our own expense.
13. Liability & Responsibility
What We're Responsible For:
- Providing the service as described
- Keeping your data secure
- Fixing major bugs and issues
What We're NOT Responsible For:
- Your business decisions or losses
- Your legal compliance
- Issues caused by third parties
- Downtime beyond our control
Liability Cap: Our maximum liability is limited to what you paid us in the last 12 months. We're not responsible for indirect damages like lost profits.
14. Third-Party Services
We use trusted partners to deliver our service:
- Payments: Stripe
- AI & Voice: OpenAI, ElevenLabs, Anthropic
- Infrastructure: Supabase, Vercel, Google, Twilio
These services have their own terms and privacy policies. We're not responsible for their actions.
15. Dispute Resolution & General Provisions
- Changes: We may update these Terms; continued use after updates means you accept the changes
- Governing Law & Venue: These Terms are governed by the laws of Ontario and the federal laws of Canada, without regard to conflicts principles. Any disputes will be resolved exclusively in the courts located in Toronto, Ontario
- Class Actions: To the extent permitted by law, disputes must be brought on an individual basis—no class, consolidated, or representative actions
- Survival: Sections covering payments, data rights, security, service changes, IP, indemnification, liability limits, and dispute resolution survive termination
- Severability & Waiver: If any provision is unenforceable, the remainder stays in effect; our failure to enforce a right is not a waiver
- Assignment: You may not transfer your rights without our consent; we may assign these Terms as part of a merger, acquisition, or corporate transaction
- Export & Regulatory Restrictions: You must comply with all export control and sanctions laws when using the Service
